Terms of Use

These Terms of Use ("Terms") govern your access to and use of the ThesientiOS application and website (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Thesient is a memory layer for investment thinking. It helps you capture thoughts, maintain a map of entities you track, receive digests when reality moves on those entities, track certain price predictions, and run a weekend premise loop. Features may change during beta.
2. Not investment advice
Thesient does not provide investment, financial, legal, or tax advice. Content generated by the Service — including digests, prediction grades, premise verdicts, entity research summaries, and any other synthesis — is informational software output only. You alone are responsible for your investment decisions. Past accuracy of predictions or digests does not guarantee future results.
3. Beta software
During closed beta the Service is provided free of charge, invite-only, and "as is." Features may be incomplete, change, or break. Data loss, incorrect synthesis, and downtime may occur. Pricing and paid tiers, if any, will be announced separately and are not promised by these Terms.
4. Accounts
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account. We may suspend or terminate access if we reasonably believe you violated these Terms or pose a security or abuse risk (including attempts to burn compute or scrape the Service).
5. Your content
You retain ownership of the captures and other content you submit ("User Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display User Content solely as needed to operate and improve the Service for you (including running AI pipelines, generating derived artifacts, and providing support).
You represent that you have the rights to submit User Content and that it does not violate law or others' rights.
6. AI and accuracy
Parts of the Service use third-party AI and data providers. Models can be wrong, incomplete, or outdated. Entity resolution, digests, transcription, and prediction extraction can err. You should verify anything material before relying on it.
7. Acceptable use
You agree not to:
- Misuse the Service or attempt unauthorized access
- Interfere with security, rate limits, or other users' data
- Use the Service to violate securities or other applicable laws
- Reverse engineer the Service except where prohibited restrictions are not allowed by law
- Resell or redistribute the Service without our written consent
8. Intellectual property
The Service, including software, branding, and generated interface design, is owned by us or our licensors. These Terms do not transfer ownership of the Service to you.
9. Privacy
Our Privacy Policy explains how we handle personal data. By using the Service you also acknowledge that policy.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING TRADING LOSSES — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.
12. Indemnity
You will defend and indemnify us against claims arising from your User Content or your misuse of the Service, to the extent permitted by law.
13. Termination
You may stop using the Service at any time and may request account deletion via the app (when available) or support@thesient.com. We may terminate or suspend access with or without notice if you breach these Terms or if we discontinue the Service.
14. Changes
We may update these Terms by posting a revised version on this page. Continued use after changes become effective constitutes acceptance, except where local law requires a different process.
15. Governing law
These Terms are governed by the laws of the United States and the State of Texas, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction say otherwise. Courts in Travis County, Texas will have exclusive jurisdiction for disputes that cannot be resolved informally, subject to those mandatory protections.
